OVERVIEW
Welcome to Skai Skai.
The terms “we”, “us” and “our” refer to Skai Skai. Skai Skai operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the “Services”).
Skai Skai is powered by Shopify, which enables us to provide the Services.
These Terms of Service, together with any policies referenced herein (the “Terms”), describe your rights and responsibilities when you access or use our Services or purchase products from us.
Please read these Terms carefully. By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy.
Nothing in these Terms is intended to exclude, restrict or affect any statutory rights or remedies available to you under applicable consumer protection law.
If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access the Services.
SECTION 1 – ACCESS AND ACCOUNT
By using the Services, you confirm that you have the legal capacity to enter into a contract or, where applicable, that you have the permission of a parent or legal guardian.
To use certain features of the Services, including purchasing products, you may be asked to provide information such as your name, email address, billing information, payment information and delivery address.
You agree that the information you provide is accurate, current and complete and that you have the right to provide such information.
If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials and for activity carried out through your account.
You may not transfer, sell, assign or license your account to another person.
SECTION 2 – OUR PRODUCTS
We make every reasonable effort to describe and display our products accurately, including their colours, materials, dimensions, features and appearance.
However, colours and appearance may vary slightly depending on your screen, device settings, lighting and other factors outside our control. Such minor variations do not affect your statutory rights where a product does not conform to the contract.
Product availability may change without notice. We reserve the right to discontinue products and, where reasonably necessary, to limit quantities available for purchase.
Product descriptions may be updated or corrected where necessary.
Nothing in this section limits your statutory rights in relation to goods that are faulty, damaged, incorrectly described or otherwise do not conform to the contract.
SECTION 3 – ORDERS AND CANCELLATIONS
When you submit an order, you are making an offer to purchase the products in your order.
Receipt of an order does not necessarily constitute acceptance. A contract is formed when we accept your order in accordance with our order process.
We reserve the right to decline or cancel an order where there is a legitimate reason to do so, including where a product is unavailable, payment cannot be authorised, an obvious pricing or product-information error has occurred, or we reasonably suspect fraudulent or unlawful activity.
If we cannot accept your order after payment has been taken, we will refund the relevant amount.
Please review your order carefully before submitting it.
Where available, you may request cancellation through your customer account or by contacting us. If your order has already been processed or dispatched, it may no longer be possible to cancel it before delivery.
This does not affect your statutory right of withdrawal or any other rights available to you under applicable consumer law.
For eligible online purchases, consumers generally have the right to withdraw from the contract within 14 days of receiving the goods, without having to provide a reason, subject to any exceptions provided by law.
In addition to your statutory rights, Skai Skai may offer an extended returns or exchange period subject to the conditions stated in our Refund & Returns Policy.
Please refer to our Refund & Returns Policy for full details regarding withdrawals, returns, exchanges and refunds.
SECTION 4 – PRICES, VAT AND PAYMENT
All prices displayed on our online store are in euro (€) and include VAT where applicable.
Any applicable delivery charges will be clearly displayed before you complete your purchase.
Prices, discounts and promotions may change without notice. The price applicable to your purchase will be the price displayed when you place your order, subject to the correction of obvious errors.
From time to time, we may offer promotions, discount codes or other special offers. Additional conditions may apply to those promotions. Where specific promotional conditions conflict with these Terms in relation to that promotion, the promotional conditions will apply.
You agree to provide current, complete and accurate purchase and payment information.
You confirm that you are authorised to use the payment method provided for your purchase.
Payments are processed through the payment methods made available at checkout.
SECTION 5 – SHIPPING AND DELIVERY
We currently deliver online orders within Malta and Gozo.
Available delivery methods, estimated delivery times and applicable charges are set out in our Shipping & Delivery Policy and, where applicable, at checkout.
Delivery times are estimates and may occasionally be affected by circumstances outside our reasonable control.
If we become aware of a significant delay or are unable to fulfil your order, we will contact you as soon as reasonably possible.
Where we arrange delivery, the risk of loss or damage to the goods passes to you when you, or a third party nominated by you other than the carrier, takes physical possession of the goods.
Nothing in this section limits any rights you may have under applicable consumer law in relation to delayed, lost or damaged deliveries.
Please refer to our Shipping & Delivery Policy for further information.
SECTION 6 – INTELLECTUAL PROPERTY
The Services and their content, including trademarks, trade names, logos, text, graphics, photographs, images, video, audio, designs and the selection and arrangement of such content, are owned by or licensed to Skai Skai or the respective rights holders and are protected by applicable intellectual property laws.
You may use the Services for your personal, non-commercial use.
Unless permitted by applicable law or authorised by us or the relevant rights holder, you may not reproduce, distribute, modify, republish, commercially exploit or otherwise use material from the Services without permission.
Nothing in these Terms grants you ownership of or a licence to Skai Skai's intellectual property except to the limited extent necessary to use the Services in accordance with these Terms.
Skai Skai's name, logo and branding may not be used without prior permission.
Shopify's name, logo and other trademarks belong to Shopify or its respective rights holders. Other names, logos and trademarks appearing through the Services remain the property of their respective owners.
SECTION 7 – OPTIONAL TOOLS
We may provide access to tools, features or services supplied by third parties.
Such third-party tools may be subject to their own terms and privacy policies.
We do not control third-party tools and cannot guarantee their continued availability or operation.
Your use of optional third-party tools is subject to applicable law and the terms imposed by the relevant provider.
We may introduce new features, tools or resources through the Services from time to time. Unless otherwise stated, these will form part of the Services and be subject to these Terms.
SECTION 8 – THIRD-PARTY LINKS
The Services may contain links to websites or services operated by third parties.
We are not responsible for the content, availability, privacy practices or security of third-party websites that we do not operate or control.
If you follow a third-party link, you should review that provider's applicable terms, privacy policies and other conditions.
Nothing in this section excludes any responsibility or liability that cannot lawfully be excluded.
SECTION 9 – RELATIONSHIP WITH SHOPIFY
Skai Skai is powered by Shopify, which provides the technology that enables us to operate our online store.
However, purchases made from the Skai Skai store are transactions between you and Skai Skai.
Shopify provides technology and related services to facilitate the operation of the store but is not the seller of Skai Skai products.
Nothing in this section affects any rights or remedies you may have under applicable law.
SECTION 10 – PRIVACY
We process personal information in accordance with our Privacy Policy and applicable data protection law.
Because our Services are hosted by Shopify, Shopify may also collect and process certain personal information in connection with your access to and use of the Services.
Our Privacy Policy explains the categories of information we process, why we process it, how information may be shared, the use of cookies and similar technologies, marketing and advertising activities, and the rights available to you.
Where consent is required for non-essential cookies, analytics, personalised advertising or similar technologies, these technologies will be managed in accordance with applicable consent requirements and the choices you make through our cookie/privacy controls.
Please review our Privacy Policy for further information.
SECTION 11 – REVIEWS, FEEDBACK AND USER CONTENT
If you voluntarily submit a review, suggestion, photograph, feedback or other content to us (“Feedback”), you confirm that you have the necessary rights to provide that content.
Where appropriate, you grant Skai Skai a non-exclusive, worldwide, royalty-free licence to use, reproduce and display that Feedback for legitimate business purposes, including operating and promoting our Services, subject to applicable law.
Where Feedback contains personal information, its processing remains subject to our Privacy Policy and applicable data protection law.
You must not submit content that infringes another person's intellectual property, privacy or other rights, or that is unlawful, defamatory, abusive, fraudulent, obscene or malicious.
If you received compensation, a free product or another incentive in connection with a review or endorsement, this should be appropriately disclosed.
We reserve the right to moderate or remove unlawful or inappropriate content where permitted by law.
SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS
We take reasonable care to ensure that information on our Services is accurate.
Occasionally, information may contain typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, availability, delivery charges or delivery times.
We may correct such errors and update information when reasonably necessary.
Where an error affects an order you have already placed, we will act in accordance with applicable contract and consumer law and, where appropriate, contact you before proceeding.
Nothing in this section limits your statutory consumer rights.
SECTION 13 – PROHIBITED USES
You may use the Services only for lawful purposes.
You must not use the Services:
- for unlawful, fraudulent or malicious purposes;
- to violate applicable laws or regulations;
- to infringe our intellectual property rights or the rights of another person;
- to harass, threaten, abuse or unlawfully harm another person;
- to submit deliberately false or misleading information;
- to impersonate another person or organisation;
- to distribute spam, malware, viruses or other harmful code;
- to attempt to gain unauthorised access to the Services or related systems;
- to interfere with the security or proper operation of the Services; or
- to collect personal information about others unlawfully.
We may restrict or terminate access to the Services where we reasonably believe these Terms have been seriously or repeatedly violated, subject to applicable law.
SECTION 14 – TERMINATION
You may stop using the Services at any time.
We may suspend or terminate access to all or part of the Services where reasonably necessary, including where there has been a serious or repeated breach of these Terms, fraudulent or unlawful activity, misuse of the Services, or a security risk.
Termination does not affect rights and obligations that arose before termination or provisions that, by their nature, should continue after termination.
Nothing in this section affects statutory consumer rights relating to purchases already made.
SECTION 15 – WARRANTIES AND STATUTORY RIGHTS
We take reasonable care in providing the Services and products offered through our store.
However, we cannot guarantee that the website will always be uninterrupted, error-free or available.
Nothing in these Terms excludes, restricts or affects any statutory rights or legal guarantees that you have under applicable consumer law.
Products purchased from Skai Skai remain subject to all mandatory legal guarantees and remedies applicable to consumer goods.
Any disclaimer contained in these Terms applies only to the extent permitted by applicable law.
SECTION 16 – LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits our liability where it would be unlawful for us to do so, nor does anything in these Terms exclude or limit statutory consumer rights or remedies that cannot legally be excluded or restricted.
To the extent permitted by law, we are not responsible for losses that were not reasonably foreseeable when the contract was entered into or for losses arising from circumstances outside our reasonable control.
We do not exclude or limit liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
If you are purchasing as a consumer, nothing in these Terms limits your rights in relation to faulty, damaged, misdescribed or non-conforming goods.
SECTION 17 – CUSTOMER RESPONSIBILITY
You are responsible for using the Services lawfully and in accordance with these Terms.
To the extent permitted by applicable law, you may be responsible for losses reasonably incurred by us as a direct result of your unlawful use of the Services, intentional breach of these Terms, fraud, or infringement of another person's rights.
Nothing in this section imposes liability upon a consumer beyond what is permitted by applicable law.
SECTION 18 – SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary or, where necessary, severed.
The remaining provisions will continue in effect to the extent permitted by law.
SECTION 19 – WAIVER AND ENTIRE AGREEMENT
If we do not immediately exercise or enforce a right under these Terms, this does not mean that we waive that right.
These Terms, together with the policies and other terms expressly incorporated into them, constitute the agreement governing your use of the Services and purchases made through the Services.
Nothing in this section excludes any information, representation or consumer right that cannot legally be excluded.
SECTION 20 – ASSIGNMENT
You may not transfer your rights or obligations under these Terms where doing so would affect our rights or obligations without our prior written consent.
We may transfer our rights or obligations where permitted by law, provided that doing so does not reduce your statutory rights or guarantees.
SECTION 21 – GOVERNING LAW AND JURISDICTION
These Terms of Service and contracts entered into between you and Skai Skai are governed by the laws of Malta.
Nothing in these Terms deprives a consumer of any mandatory protections provided by applicable consumer law.
Disputes shall be subject to the jurisdiction of the competent courts of Malta, except where applicable law gives a consumer the right to bring proceedings before another competent court.
SECTION 22 – HEADINGS
The headings used in these Terms are provided for convenience only and do not affect their interpretation.
SECTION 23 – CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes to our Services, business practices, policies or applicable legal requirements.
The most current version will be published on this website together with the date on which it was last updated.
Where required by applicable law, we will provide appropriate notice of material changes.
Changes will not retrospectively reduce statutory rights relating to purchases made before the changes took effect.
